| |      |            |   Principals Pier Friend Prior to joining New Providence, Mr. Friend was at Goldman Sachs Asset Management for 10 years, most recently as a Portfolio Manager, Portfolio Strategist, and Head of the US Core Equity Business with $3.5 billion in assets under management. Prior to joining Goldman Sachs, he began his career in Japan and went on to work for Nihon Keizai Shimbun before joining Gabriel Capital Group as a research analyst responsible for risk arbitrage and long short investments for the $1 billion hedge fund. Mr. Friend serves on the Advisory Council for the Headmaster of St. Andrew's School and earned his BA at Williams College and his MBA from the Leonard N. Stern School at New York University. John L. Vogelstein Mr. Vogelstein served as President and CIO of Warburg Pincus LLC for many years and remains a Senior Advisor. Prior to joining Warburg Pincus in 1967, Mr. Vogelstein was a partner of Lazard Freres & Co. He is a Director or Trustee of the following non-profit organizations: Prep for Prep (Chairman), New York University, Leonard N. Stern School of Business (Vice-Chair), The Jewish Museum, Temple Emanu-El and the New York City Ballet (Chairman). Mr. Vogelstein was educated at Harvard College. Rafe de la Gueronniere Previously, Mr. de la Gueronniere was a Principal at the Mariner Investment Group, Chairman of the Discount Corporation of New York, a partner of William E. Simon’s, and a Member of the Management Committee and Board at PaineWebber, Inc. He began his career at J.P. Morgan & Co. where he was a Senior Vice President responsible for the fixed income and precious metals businesses. Mr. de la Gueronniere served as a Trustee and Investment Committee Chair for the Taft School and was on the U.S. Treasury Debt Management Advisory Committee. Currently, Mr. de la Gueronniere is a member of the Investment Committee of the John D. and Catherine T. MacArthur Foundation. Mr. de la Gueronniere earned his BA from Brown University. Andrew Vogelstein Prior to joining New Providence, Mr. Vogelstein worked for Bear Stearns & Co. in the Institutional Equity Division and for Bank of America in the Capital Markets Division. Mr. Vogelstein earned his MBA from New York University and his BA from The University of Colorado. Sara S. Ayres Ms. Ayres was formerly a Partner at The Chart Group, L.P. (a private equity firm). She worked in investment banking at Kidder, Peabody & Co. before joining Chart in 1995. Currently, she serves on the Board of The Boys’ Club of New York and as a member of The New York Weill Cornell Council. Ms. Ayres earned her BA from the University of North Carolina at Chapel Hill. Stephen S. Miller, Finance and Compliance From 2000 to 2006, Mr. Miller was the Chief Financial Officer of Promethean Asset Management LLC, a multi-strategy investment management company. Prior to joining Promethean, Mr. Miller worked for Soros Fund Management LLC, the Principal Investment Advisor for the Quantum Group of Funds (the “Funds”), where he was responsible for the Funds’ tax and accounting administration. Mr. Miller began his career at the accounting firm Goldstein Golub Kessler & Company. Mr. Miller earned his BS in Accounting from Binghamton University. Lance R. Odden, Business Development Mr. Odden served as Headmaster of the Taft School from 1972 to 2001. He is currently a Director of Scientific Learning Corp., Global College and the Berkshire School. Previously, he served as Chair of A Better Chance, President of The New England Association of Schools and Colleges, President of the Headmasters’ Association, Chair of the Government Relations and Executive Committees of the National Association of Independent Schools and Director of the Bank of Boston in Connecticut. Mr. Odden earned his BA from Princeton University, his MA from the University of Wisconsin, Doctor of Letters from Middlebury College and Doctor of Humane Letters from Hamilton College. Anson M. Beard, Jr. joined Morgan Stanley & Co. in 1977 to found Private Client Services. He became a Managing Director in 1980 and in 1981 he was put in charge of the firm’s Equity Division. Mr. Beard chaired Morgan Stanley Security Services Inc., a subsidiary of Morgan Stanley Group, which engaged in stock borrowing/lending, customer and dealer clearance, international settlements and custody. He served as a Trustee of the Morgan Stanley Foundation, and was Chairman of its NASDAQ Inc. subsidiary. Mr. Beard has retired and serves as an Advisory Director of Morgan Stanley. Mr. Beard spent four years at Citibank (1958 1962); 1962 1973 at Laird Inc. and three years as Chief Operating Officer at Donaldson, Lufkin & Jenrette Securities Corp. (1974 1977). He serves as a Trustee of Wheaton College, Brandywine Conservancy, The Atlantic Salmon Foundation and The John Hartford Foundation. Mr. Beard graduated from Yale University and attended New York University Graduate School of Business. Richard S. Falk, Jr. worked at Mitchell, Hutchins Inc., PaineWebber, and PaineWebber/UBS from 1969 to 2002. Mr. Falk’s responsibilities included management of PaineWebber’s Institutional Equity Business. He served on the Management and Executive Committees of PaineWebber and was on the Board of PaineWebber Inc. Mr. Falk served as Chairman of the Securities Industry Association’s Institutional Committee, was a floor member of the NYSE and was a member of the Market Performance Committee. Mr. Falk graduated with a BA from Stanford University. Grant A. Porter is Vice Chairman of Barclays Capital. Mr. Porter also serves as a Member of the Board of Trustees of the Taft School in Watertown, Connecticut, a Member of the Board of American Friends of the British Museum and a Trustee of The Teagle Foundation. Mr. Porter earned his BA from Brown University and is a graduate of the Harvard Business School’s Program for Management Development. Bernard Gray is President of Gray Ventures, a private investment company established to help early stage companies in the Southeast, with geographic emphasis on Atlanta and the Research Triangle and with a sector emphasis on information technology. Mr. Gray was formerly Vice Chairman and Executive Vice President of Summit Communications Group, Inc., a family owned holding company for radio broadcasting and cable television properties as well as ventures in wireless and other media. He has served on the boards of The Council for Entrepreneurial Development in RTP, North Carolina and the Atlanta Venture Forum, as well as numerous educational, arts and civic organizations. Mr. Gray served in the United States Marine Corps in Vietnam. He graduated from the University of North Carolina at Chapel Hill and received an MBA from Columbia Business School. George Putnam, III is President of New Generation Advisors LLC, an investment advisor whose primary focus is distressed securities. He is also Chairman of New Generation Research, Inc., a Director of the Boston Family Office which oversees financial assets for private individuals, and is a Trustee of the Putnam Mutual Funds, Boston, MA. Mr. Putnam also serves as a Trustee of the St. Mark’s School in Southborough, MA, as a Trustee of the Epiphany School in Dorchester, MA and as a Trustee of the Marine Biological Laboratory in Woods Hole, MA. Mr. Putnam previously served as Chair of the St. Mark’s School Board and Director and Chair of the Investment Committee of the Massachusetts Audubon Society. Mr. Putnam earned his BA from Harvard College and received his JD and MBA degrees from the joint program at Harvard Law School and Harvard Business School. Mehdi Mahmud is Vice Chairman and Chief Operating Officer of Jennison Associates LLC and is a member of its Board of Directors. Prior to joining Jennison in March 2003, Mr. Mahmud was with Credit Suisse Asset Management (“CSAM”) from 1999 to 2003 where he was director of Investment Management and a member of the Global Investment Business Committee overseeing investment capabilities worldwide. Mr. Mahmud was responsible for creating CSAM’s proprietary hedge fund business, as well as running the quantitative research and portfolio construction functions of the firm. Previously, he was a Vice President and a member of the asset allocation strategy team for global equity, fixed income, and balance products. From 1995-1999, Mr. Mahmud was with J.P. Morgan Investment Management as a portfolio manager for $4 billion in Global Balanced and “Best Ideas” assets. Mr. Mahmud received a BS in Electrical Engineering from Yale College. Paul de Rosa is a Principal of Mt. Lucas Management Corp with responsibility for managing Fixed Income investments in the firm’s Peak Partners Hedge Fund. Prior to that, he was Chief Executive Officer of Eastbridge Holdings, Inc., a primary dealer in U.S. Government Securities. Mr. de Rosa was previously a Division Head in Citicorp’s Investment Bank with responsibility for Fixed Income. He is a Director of Ambac Financial Group, Inc., Mt. Lucas Management Corp., the Florence and Paul de Rosa Memorial Fund, and has served as a Director of Nippon Credit Trust Co., and the Treasury Bank in Washington, D.C. Mr. de Rosa earned his Ph.D. from Columbia University.
Rodman W. Moorhead, III is a Senior Advisor to Warburg Pincus LLC; until recently, he was responsible for all of their healthcare investments. Mr. Moorhead is a Director of Coventry Health Care, Spectrum K-12 School Solutions and Scientific Learning Corporation. He previously served on the boards of Alta Health Strategies, Inc., Christians International B.V., Columbia/HCA Healthcare Corporation, HealthCare Recoveries, Inc., Symbion, Inc., Synergen, Inc., United Health Care Corporation, Value Health, Inc. and Vestar/NeXstar Pharmaceutical, Inc. Mr. Moorhead serves as Chairman of the Board of Trustees of The Taft School, the Stroud Water Research Center, and is on the Overseers’ Committee on University Resources at Harvard College. Mr. Moorhead earned his BA from Harvard College and his MBA from Harvard Business School. Henry B. Schacht is a Senior Advisor to and Managing Director of Warburg Pincus. Mr. Schacht has previously served as Chairman and CEO of the Cummins Engine Company and Lucent Technologies. Currently, Mr. Schacht serves on the Boards of Directors of Johnson & Johnson Corp., ALCOA, the New York Times Company, Lucent Technologies and the Metropolitan Museum of Art. He is an Honorary Trustee of the Brookings Institution, a member of the Business Council and the Council on Foreign Relations. Mr. Schacht has served as Chairman of the Ford Foundation and on the Boards of AT&T, CBS, the Chase Manhattan Corporation, the Culver Educational Foundation, Harvard Business School and on the Advisory Board of the Yale School of Organization and Management. Mr. Schacht graduated from Yale University with a BS in 1956 and from Harvard University with an MBA in 1962.
